Terms of Service
These Terms of Service govern your use of the AVS Digital Solutions website and outline the framework for our software engineering, AI automation, cloud, analytics, and security engagements.
1. Acceptance of Terms
By accessing or using the website of AVS Digital Solutions ("AVS", "we", "us", or "our"), or by entering into a Statement of Work (SOW) or Master Services Agreement (MSA) with us, you ("Client" or "User") agree to be bound by these Terms of Service. If you do not agree to these terms, please refrain from using our website and services.
2. Services & Statements of Work
AVS provides technology services spanning custom software engineering, AI automation & workflows, data engineering pipelines, cloud infrastructure deployment, business analytics, and cybersecurity assessments.
Bespoke Client Projects: Specific deliverables, milestone schedules, pricing structures, and Service Level Agreements (SLAs) are defined in individual Statements of Work (SOWs) signed by both parties. In the event of a conflict between these general website Terms of Service and an executed SOW, the provisions of the executed SOW shall prevail.
3. Intellectual Property Rights
Client Ownership
Upon full payment of all invoiced amounts specified in an executed project agreement, AVS transfers to the client full ownership rights, title, and interest in custom source code, databases, and assets created specifically for the client.
AVS Pre-Existing IP & Open Source
AVS retains ownership of pre-existing internal libraries, boilerplate frameworks, developer tools, and generic algorithms utilized during development. Clients receive a perpetual, non-exclusive, royalty-free license to use such pre-existing components as integrated into their deliverables. Open-source dependencies remain subject to their respective open-source licenses (e.g. MIT, Apache 2.0).
4. Acceptable Use Policy
When interacting with our website, APIs, or hosted client staging environments, you agree not to:
- Perform unauthorized security vulnerability scans, port probing, or penetration tests without prior written authorization from AVS engineering management.
- Attempt to bypass rate limits, authentication controls, or reverse-engineer proprietary algorithms.
- Use our infrastructure to distribute spam, malware, phishing content, or engage in unlawful denial-of-service (DDoS) attacks.
5. Security Practices & Realism Disclaimer
We apply industry-standard security practices including encrypted communication, access controls, secure authentication, and regular backups.
While we enforce rigorous defensive security controls across all software engineering and cloud environments, no method of transmission over the Internet or electronic storage is 100% immune to emerging threats, zero-day vulnerabilities, or external disruptions. Clients are advised to maintain independent endpoint security hygiene and follow recommended administrative access guidelines. 6. Warranties & Limitation of Liability
Website content is provided "as is" for informational purposes. Custom software development warranties (e.g. 30-to-90-day post-launch bug warranty periods) are governed by specific project SOWs.
To the maximum extent permitted by the laws of Zimbabwe, AVS Digital Solutions shall not be liable for indirect, incidental, special, or consequential damages (including loss of data, loss of business revenue, or operational downtime) arising out of website usage or third-party infrastructure outages.
7. Contract Termination
Either party may terminate a service agreement in accordance with the notice period specified in the SOW (typically 30 days written notice). Upon termination, AVS will deliver all completed work products and facilitate secure data handoff in accordance with our retention policy.
8. Governing Law & Jurisdiction
These Terms of Service and any contractual disputes arising hereunder shall be governed by and construed in accordance with the laws of the Republic of Zimbabwe. Parties submit to the exclusive jurisdiction of the courts of Zimbabwe.
